Introduction:
Welcome to BizBe Corporation ("BizBe"). By accessing BizBe you are agreeing to the following terms, which are designed to make sure that BizBe works for everyone. BizBe is provided to you by BizBe Corporate Pty Ltd, Cape Town, South Africa, also referred to below as " BizBe ". This policy is effective November 01, 2013.

Definitions:
BizBe - means the BizBe Corporate Pty Ltd - Registration: 2012/116927/07
User - means individuals, companies, partners, associates, you, your, public, friends, acquaintances

Terms of Use.

Using BizBe:
As a condition of your use of BizBe you agree that you will not:
o violate any laws;
o violate the Posting Rules;
o post any threatening, abusive, defamatory, racial, obscene or indecent material;
o be false or misleading;
o infringe any third-party right;
o distribute or contain spam, chain letters, or pyramid schemes;
o distribute viruses or any other technologies that may harm BizBe or the interests or property of BizBe users;
o impose an unreasonable load on our infrastructure or interfere with the proper working of BizBe;
o copy, modify, or distribute any other person's content without their consent;
o use any robot spider, scraper or other automated means to access BizBe and collect content for any purpose without our express written permission;
o harvest or otherwise collect information about others, including email addresses, without their consent; " bypass measures used to prevent or restrict access to BizBe.

You are solely responsible for all information that you submit to BizBe and any consequences that may result from your post. We reserve the right at our discretion to refuse or delete content that we believe is inappropriate or breaching any of our terms and rules. We also reserve the right at our discretion to restrict a user's usage of the site either temporarily or permanently, or refuse a user's registration.

Abusing BizBe:
BizBe and BizBe communities work together to keep the site working properly and communities safe. Please report problems, offensive content and policy breaches to us by emailing to legal@bizbe.co.za.

Without limiting other remedies, we may issue warnings, limit or terminate our service, remove hosted content and take technical and legal steps to keep users off BizBe if we think that they are creating problems or acting inconsistently with the letter or spirit of our policies and terms. However, whether we decide to take any of these steps, remove hosted content or keep a user off BizBe or not, we do not accept any liability for monitoring BizBe or for unauthorized or unlawful content on BizBe or use of BizBe by users.

Global Marketplace:
Some of BizBe's features may display your ad on other sites that are part of the global BizBe community. By using BizBe, you agree that your ads can be displayed on these other sites. The terms for our other sites are similar to these terms, but you may be subject to additional laws or other restrictions in the countries where your ad is posted. When you choose to post your ad on another site, you may be responsible for ensuring that it does not violate our other site policies. We may remove your ad if it is reported on any our sites, or if we believe it causes problems or violates any law or policy.

Fees and Services:
Using BizBe is generally free, but we sometimes charge a fee for certain services and adverts. If the service you use incurs a fee, you'll be able to review and accept terms that will be clearly disclosed at the time you post your advert or accepted the service. Our fees are quoted in monetary values applicable to that country, and we may change them from time to time. We'll notify you of changes to our fee policy by posting such changes on the site. We may choose to temporarily change our fees for promotional events or new services; these changes are effective when we announce the promotional event or new service.

Our fees are non-refundable, and you are responsible for paying them when they're due. If you don't, we may limit your ability to use the services. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms.

Content:
BizBe contains content from us, you, and other users. BizBe is protected by copyright laws and international treaties. Content displayed on or via BizBe is protected as a collective work and/or compilation, pursuant to copyrights laws and international conventions. You agree not to copy, distribute or modify content from BizBe without our express written consent. You may not disassemble or decompile, reverse engineer or otherwise attempt to discover any source code contained in BizBe. Without limiting the foregoing, you agree not to reproduce, copy, sell, resell, or exploit for any purposes any aspect of BizBe other than your own content. When you give us content, you are granting us and representing that you have the right to grant us, a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, and database rights to that content.

Infringement:
Do not post content that infringes the rights of third parties, This includes, but is not limited to, content that infringes on intellectual property rights such as copyright and trademark (e.g. offering counterfeit items for sale). A large number of very varied products are offered on BizBe by private individuals. Entitled parties, in particular the owners of copyright, trademark rights or other rights owned by third parties can report any offers which many infringe on their rights, and submit a request for this offer to be removed. If a legal representative of the entitled party reports this to us in the correct manner, products infringing on the intellectual property rights will be removed by BizBe.

Reporting an infringement:
In order to participate in the Notice of Infringement Program, you only need to email the infringement to legal@bizbe.co.za, where you have complete anonymity. You can use this method to report advertisements which may infringe on your rights. The information sent in the Notice of Infringement email is for the purpose of ensuring that the parties reporting these objects are either the entitled party or their officially authorized representative. This information must also enable BizBe to identify the advertisement to be removed. Once we have received your Notice of Infringement email, you can simply send later reports to BizBe via the e-mail address provided.

Note: This method can only be used by the lawful owners of the intellectual property rights. "Notice of Infringement" is intended to ensure that products offered do not infringe the copyright, trademark right or other intellectual property rights of third parties.

Liability:
Nothing in these terms shall limit our liability for fraudulent misrepresentation, for death or personal injury resulting from our negligence or the negligence of our agents or employees. You agree not to hold us responsible for things other users post or do.

We do not review users' postings and are not involved in the actual transactions between users. As most of the content on BizBe comes from other users, we do not guarantee the accuracy of postings or user communications or the quality, safety, or legality of what's offered.

In no event do we accept liability of any description for the posting of any unlawful, threatening, abusive, defamatory, obscene or indecent information, or material of any kind which violates or infringes upon the rights of any other person, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law.

We cannot guarantee continuous, error-free or secure access to our services or that defects in the service will be corrected. While we will use reasonable efforts to maintain an uninterrupted service, we cannot guarantee this and we do not give any promises or warranties (whether express or implied) about the availability of our services.

Accordingly, to the extent legally permitted we expressly disclaim all warranties, representations and conditions, express or implied, including those of quality, merchantability, merchantable quality, durability, fitness for a particular purpose and those arising by statute. We are not liable for any loss, whether of money (including profit), goodwill, or reputation, or any special, indirect, or consequential damages arising out of your use of BizBe, even if you advise us or we could reasonably foresee the possibility of any such damage occurring. Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you.

Despite the previous paragraph, if we are found to be liable, our liability to you or any third party (whether in contract, tort, negligence, strict liability in tort, by statute or otherwise) is limited to the greater of (a) the total fees you pay to us in the 12 months prior to the action giving rise to liability, and (b) 1000 South African Rand.

Personal Information:
By using BizBe, you agree to the collection, transfer, storage and use of your personal information by BizBe on servers located in South Africa as further described in our Privacy Policy. You also agree to receive marketing communications from us unless you tell us that you prefer not receive such communications.

Resolution of disputes:
If a dispute arises between you and BizBe, we strongly encourage you to first contact us directly to seek a resolution by emailing us at legal@bizbe.co.za. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

General:
These terms and the other policies posted on BizBe constitute the entire agreement between BizBe, your company and you, superseding any prior agreements.
To the extent permitted by applicable law, this Agreement shall be governed and construed in all respects by the laws of South Africa. You agree that any claim or dispute you may have against BizBe Corporate Pty Ltd must be resolved by the courts of South Africa. Your company and BizBe both agree to submit to the exclusive jurisdiction of the South African Courts; for claims falling within the jurisdiction of a Country Court, your company and BizBe both agree to submit to the jurisdiction of the Cape Town High Court.

If we don't enforce any particular provision, we are not waiving our right to do so later. If a court strikes down any of these terms, the remaining terms will survive. We may automatically assign this agreement in our sole discretion in accordance with the notice provision below.

We may update this agreement at any time, with updates taking effect when you next post or 30 days after we post the updated policy on the site, whichever is sooner. No other amendment to this agreement will be effective unless made in writing, signed by users and by us.

Some other things you need to know


I. Information we receive and how it is used

Information we receive about you
We receive a number of different types of information about you, including:
Your information
Your information is the information that's required when you sign up for the site, as well as the information you choose to share.

- Registration information: When you sign up for BizBe, you are required to provide your name, email address, company name, location and other contact details.

- Information you choose to share: Your information also includes the information you choose to share on BizBe, such as when you post a status update, upload a photo, or comment on an associate's post.

It also includes the information you choose to share when you take an action, such as when you add an associate, like a Page or a website, tag a place in your post, find associates using our contact importers.

Your company name, profile picture, networks, username and User ID are treated just like information you choose to make public.

Information others share about you
We receive information about you from your associates, such as when they rate your business or at a location, or add you to a group.
We may also receive information about you from applications, and websites you use, but only when you have given them permission. If you have given a game, application, or website permission to post information on your webpage, you can remove it from your "Apps you use" setting.

Other information we receive about you
We also receive other types of information about you:
o We receive data about you whenever you interact with BizBe, such as when you look at another companies profile, send someone a message, search for a business or a Product, click on an ad, or purchase from a company using BizBe.
o When you post things like product photos or videos on BizBe, we may receive additional related data (or metadata), such as the time, date, and place you took the photo or video.
o We receive data from the computer, mobile phone or other device you use to access BizBe. This may include your IP address, location, the type of browser you use, or the pages you visit. For example, we may get your GPS location so we can tell you if any of your friends are nearby.
o We receive data whenever you visit an, application, or website that uses BizBe Platform or visit a site with a BizBe feature (such as a social plug-in). This may include the date and time you visit the site; the web address, or URL, you're on; technical information about the IP address, browser and the operating system you use; and, if you are logged in to BizBe, your User ID.
o Sometimes we get data from our advertising partners, customers and other third parties that help us (or them) deliver ads, understand online activity, and generally make BizBe better.

We also put together data from the information we already have about you, your business and your associates. For example, we may put together data about you to determine which associates we should show you in your News Feed or suggest you tag in the photos you post. We may put together your current city with GPS and other location information we have about you to, for example, tell you and your associates about your services nearby, or offer deals to you that you might be interested in. We may also put together data about you to serve your adverts that might be more relevant to you.

When we get your GPS location, we put it together with other location information we have about you (like your current city). But we only keep it until it is no longer useful to provide you services.
We only provide data to our advertising partners or customers after we have removed your name or any other personally identifying information from it, or have combined it with other company's data in a way that it is no longer associated with you. Similarly, when we receive data about you from our advertising partners or customers, we keep the data for 365 days. After that, we combine the data with other people's data in a way that it is no longer associated with you.

Public information

When we use the phrase "public information", we mean the information you choose to make public, as well as information that is always publicly available.

Information you choose to make public
Choosing to make your information public is exactly what it sounds like: anyone, including people off of BizBe, will be able to see it. (Except in your Profile Page where you allow access) Choosing to make your information public also means that this information:

o can be associated with you (i.e., your name, profile picture, BizBe profile, User ID, etc.) even off BizBe
o can show up when someone does a search on BizBe or on a public search engine
o will be accessible to the games, applications, and websites you and your associates use

Sometimes you will not be able to select an audience when you post something (like when you write on a Page's wall or comment on a news article that uses our comments plug-in). This is because some types of posts are always public posts. As a general rule, you should assume that if you do not see a sharing icon, the information will be publicly available.

When others share information about you, they can also choose to make it public.

Information that is always publicly available
The types of information listed below are always publicly available, and are treated just like information you decided to make public.

o Name: This helps your associates, consumers, friends and family find you.
o Profile Logos: This helps the public recognize you. If you are uncomfortable making your profile logo public, you can always delete it by hovering over your logo and clicking "Change Picture."
o Network: This helps you see whom you will be sharing information with before you choose "Public, Associates and Networks" as a custom audience. If you are uncomfortable making your network public, you can leave the network.
o Username and User ID: These allow you to give out a custom link to your profile or Page, receive email at your BizBe email address, and help make BizBe Platform possible.

Usernames and User IDs
A Username (or BizBe URL) is a custom link to your profile that you can give out to people or post on external websites. If you have selected a username, it will always appear in the URL on your profile page. If you have not selected a username, then the URL on your profile page will contain your User ID, which is what we use to identify your BizBe account.
If someone has your Username or User ID, they can use it to access information about you through the BizBe website. For example, if someone has your Username, they can type BizBe.net/Username into their browser and see your public information as well as anything else you've let them see. Specifically, they can access your public information.
If you do not want your information to be accessible through our APIs, you can turn off all Platform applications from your Privacy Settings. If you turn off Platform you will no longer be able to use any other applications.

How we use the information we receive
We use the information we receive about you in connection with the services and features we provide to you and other users like your associates, consumers, friends, the advertisers that purchase ads on the site, and the developers that build the games, applications, and websites you use. For example, we may use the information we receive about you:

o as part of our efforts to keep BizBe safe and secure;
o to provide you with location features and services, like telling you and your friends when something is going on nearby;
o to measure or understand the effectiveness of ads you and others see;
o to make suggestions to you and other users on BizBe, such as: suggesting that your consumers use our contact importer because you found associates using it, suggesting that another user add you as an associate because the user imported the same email address as you did, or suggesting that your associate tag you in a service or product they have made available.

Granting us this permission not only allows us to provide BizBe as it exists today, but it also allows us to provide you with innovative features, business applications and services we develop in the future that use the information we receive about you in new ways.
While you are allowing us to use the information we receive about you, you always own all of your information. Your trust is important to us, which is why we don't share information we receive about you with others unless we have:

o received your permission;
o given you notice, such as by telling you about it in this policy; or
o removed your name or any other personally identifying information from it.

We are able to suggest that your associates tag you on a service or product offering by comparing your associates information to information we've put together from the products and services you've been tagged in. You can control whether we suggest that another user tag you in a product or service using the "How Tags work" settings.

Deleting and deactivating your account
If you want to stop using your account, you can either deactivate or delete it. To de-activate or delete an account, please send your profile details and the reason why you want this to be deleted or deactivated for our records to support@bizbe.co.za.

Deactivate
Deactivating your account puts your account on hold. Other users will no longer see your profile, but we do not delete any of your information. Deactivating an account is the same as you telling us not to delete any information because you might want to reactivate your account at some point in the future.

Deletion
When you delete an account, it is permanently deleted from BizBe. It typically takes about one month to delete an account, but some information may remain in backup copies and logs for up to 90 days. You should only delete your account if you are sure you never want to reactivate it.

What your Associates share about you

Tags
A tag is a link to your profile. For example, if you are tagged in a post (such as a photo or a status update), that post will contain a link to your profile. If someone clicks on the link, they will see your public information and anything else you let them see.
Anyone can tag you in anything. Once you are tagged in a post, you and your friends will be able to see it. For example, your friends may be able to see the post in their News Feed or when they search for you. It may also appear on your profile.
You can choose whether a post you've been tagged in appears on your profile. You can either approve each post individually or approve all posts by your friends. If you approve a post and later change your mind, you can always remove it from your profile.
If you do not want someone to tag you in their posts, we encourage you to reach out to them and give them that feedback. If that does not work, you can block them. This will prevent them from tagging you going forward. o If you are tagged in a private space (such as a message or a group) only the people who can see the private space can see the tag. Similarly, it you are tagged in a comment, only the people who can see the comment can see the tag.

Groups
Your associates can add you to the Groups they are in. You can always leave a Group, which will prevent others from adding you to it again.

About Pages
BizBe Pages are public pages. Companies use Pages to share information about their products and services, news, about them, and other company information.
Because Pages are public, information you share with a Page is public information. This means, for example, that if you post a comment on a Page, that comment can be used by the Page owner off of BizBe, and anyone can see it.
When you "Thumbs Up" a company, comment, product or service, you create a connection to that Page. That connection is added to your profile and your associates may see it in their News Feeds. You may also receive updates from the Page in your News Feed and your messages. You can remove the Pages you've "Thumbed Up" from your profile.

Some Pages contain content that comes directly from the Page owner. Page owners can do this through online plugins, and it works just like other applications you use through BizBe. Because this content comes directly from the Page owner, that Page may be able to collect information about you, just like any website.

Controlling what information you share with applications
When you go to an application, or connect with a website using BizBe Platform, we give the application or website (sometimes referred to as just "Applications" or "Apps" your User ID, as well your associates' User IDs (or your associate list).
Your Associates list helps the application make your experience more social because it lets you find your friends on that application. Your User ID helps the application personalize your experience because it can connect your account on that application with your BizBe account, and it can access your public information. If the application needs additional information, it will have to ask you for specific permission.

Minors and safety
We take safety issues very seriously, especially with children, and we encourage parents to teach their children about safe internet practices.
Remembering that BizBe is for businesses and minors should be inspired to own businesses; they should still be safe-guarded at all costs.

Responding to legal requests and preventing harm
We may share your information in response to a legal request (like a search warrant, court order or subpoena) if we have a good faith belief that the law requires us to do so. This may include responding to legal requests from jurisdictions outside of South Africa where we have a good faith belief that the response is required by law in that jurisdiction, affects users in that jurisdiction, and is consistent with internationally recognized standards. We may also share information when we have a good faith belief it is necessary to: detect, prevent and address fraud and other illegal activity; to protect ourselves and you from violations of our Statement of Rights and Responsibilities; and to prevent death or imminent bodily harm.

Access requests
We provide initial responses to access requests within a reasonable period of time, typically within thirty days. You can also download a copy of everything you've put into BizBe by visiting your "Account Settings" and clicking on "Download a copy of your BizBe data".

Notifications and Other Messages
We may send you notifications and other messages using the contact information we have for you, like your email address. You can control most of the notifications you receive, including ones from Pages you like and applications you use, using your "Notifications" settings.

Associate finder
We offer tools to help you upload your associates' contact information so that you can find your associates on BizBe, and invite associates who do not use BizBe to join.

Invitations
When you invite an associate to join BizBe, we send a message on your behalf using your company name, and up to two reminders. We may also include names and pictures of other people your associate might know on BizBe. The invitation will also give your associate the opportunity to opt out of receiving other invitations to join BizBe.

Cookies
Cookies are small pieces of data that we store on your computer, mobile phone or other device to make BizBe easier to use, make our advertising better, and to protect you (and BizBe). For example, we may use them to know you are logged in to BizBe, to help you use social plugins and share buttons, or to know when you are interacting with our advertising or Platform partners. We may also ask advertisers to serve ads to computers, mobile phones or other devices with a cookie placed by BizBe (although we would not share any other information with that advertiser). Most companies on the web use cookies (or similar technological methods), including our advertising and Platform partners. You can always remove or block cookies (such as by using the settings in your browser), but it may affect your ability to use BizBe.

Service Providers
We give your information to the people and companies that help us provide the services we offer. For example, we may use outside vendors to help host our website, serve photos and videos, process payments, or provide search results. In some cases we provide the service jointly with another company, such as the BizBe Marketplace. In all of these cases our partners must agree to only use your information consistent with the agreement we enter into with them, as well as this privacy policy.

Security
We do our best to keep your information secure, but we need your help.

Change of Control
If the ownership of our business changes, we may transfer your information to the new owner so they can continue to operate the service. But they will still have to honor the commitments we have made in this privacy policy.

Notice of Changes
If we make changes to this Privacy Policy we will notify you by publication here and on the BizBe Site Governance Page. If the changes are material, we will provide you additional, prominent notice as appropriate under the circumstances.

Opportunity to comment and vote
Unless we make a change for legal or administrative reasons, or to correct an inaccurate statement, we will give you seven (7) days to provide us with comments on the change. If we receive more than 5000 comments concerning a particular change, we will put the change up for a vote. The vote will be binding on us if more than 30% of all active registered users as of the date of the notice vote.

Sign-In Credentials.
You agree to: (1) Keep your password secure and confidential; (2) not permit others to use your account; (3) refrain from using other Users' accounts; (4) refrain from selling, trading, or otherwise transferring your BizBe account to another party; and (5) refrain from charging anyone for access to any portion of BizBe, or any information therein. Further, you are responsible for anything that happens through your account until you close down your account or prove that your account security was compromised due to no fault of your own.

Indemnification.
You indemnify us and hold us harmless for all damages, losses and costs (including, but not limited to, reasonable attorneys' fees and costs) related to all third party claims, charges, and investigations, caused by (1) your failure to comply with this Agreement, including, without limitation, your submission of content that violates third party rights or applicable laws, (2) any content you submit to the Services, and (3) any activity in which you engage on or through BizBe.

Payment.
If you purchase any services that we offer for a fee, either on a one-time or subscription basis ("Premium Services"), you agree to BizBe storing your payment card information. You also agree to pay the applicable fees for the Premium Services (including, without limitation, periodic fees for premium accounts) as they become due plus all related taxes, and to reimburse us for all collection costs and interest for any overdue amounts. Your obligation to pay fees continues through the end of the subscription period during which you cancel your subscription. You may cancel your Premium Services. BizBe's refund policy is non-refundable. You also acknowledge that BizBe Services are subject to this Agreement and any additional terms related to the provision of the Premium Service.

Privacy.
You should carefully read our full Privacy Policy before deciding to become a User as it is hereby incorporated into this Agreement by reference, and governs our treatment of any information, including personally identifiable information you submit to us. Please note that certain information, statements, data, and content (such as photographs) which you may submit to BizBe, or groups you choose to join might, or are likely to, reveal your gender, ethnic origin, nationality, age, and/or other personal information about you. You acknowledge that your submission of any information, statements, data, and content to us is voluntary on your part.

Contributions to BizBe
By submitting ideas, suggestions, documents, and/or proposals ("Contributions") to BizBe through its suggestion or feedback webpages, you acknowledge and agree that: (a) your Contributions do not contain confidential or proprietary information; (b) BizBe is not under any obligation of confidentiality, express or implied, with respect to the Contributions; (c) BizBe shall be entitled to use or disclose (or choose not to use or disclose) such Contributions for any purpose, in any way, in any media worldwide; (d) BizBe may have something similar to the Contributions already under consideration or in development; (e) you irrevocably assign to BizBe all rights to your Contributions; and (f) you are not entitled to any compensation or reimbursement of any kind from BizBe under any circumstances.

SOME COUNTRIES AND JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED TERMS IN CONTRACTS WITH CONSUMERS AND AS A RESULT THE CONTENTS OF THIS SECTION MAY NOT APPLY TO YOU.

DO NOT RELY ON BIZBE, ANY INFORMATION THEREIN, OR IT'S CONTINUATION. WE PROVIDE THE PLATFORM FOR BIZBE AND ALL INFORMATION AND SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. BIZBE DOES NOT CONTROL OR VET USER GENERATED CONTENT FOR ACCURACY. WE DO NOT PROVIDE ANY EXPRESS WARRANTIES OR REPRESENTATIONS.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE DISCLAIM ANY AND ALL IMPLIED WARRANTIES AND REPRESENTATIONS, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY OF DATA, AND NONINFRINGEMENT. IF YOU ARE DISSATISFIED OR HARMED BY BIZBE OR ANYTHING RELATED TO BIZBE, YOU MAY CLOSE YOUR BIZBE ACCOUNT AND TERMINATE THIS AGREEMENT IN ACCORDANCE WITH OUR POLICY AND SUCH TERMINATION SHALL BE YOUR SOLE AND EXCLUSIVE REMEDY.

BIZBE IS NOT RESPONSIBLE, AND MAKES NO REPRESENTATIONS OR WARRANTIES FOR THE DELIVERY OF ANY MESSAGES (SUCH AS INMAILS, POSTING OF ANSWERS OR TRANSMISSION OF ANY OTHER USER GENERATED CONTENT) SENT THROUGH BIZBE TO ANYONE. IN ADDITION, WE NEITHER WARRANT NOR REPRESENT THAT YOUR USE OF THE SERVICE WILL NOT INFRINGE THE RIGHTS OF THIRD PARTIES.
